Terms of Use

I. The overview about VTC Pay
VTCPay, which is not only the online payment gateway but also the electronic wallet  ( wallet on the Internet),  has used to repalce cash, helping customers to make transactions or fee payment. The intermediary role of VTC Pay  is associated  with the customers’ accounts to open a modern payment channel and make more convenient. VTC Pay which  is used via the Internet enviroment and the mobile network….allows the users to purchase, exchange of goods and services, make the online payments qiuckly . Moreover, this is one of the online payment forms which is the best saving and convenient for the users  at the present time.

II .The general provisions:
1 .The brand name and the Intellectual Property Rights
VTC Pay copyrighted  legally the  VTC Technology & Digital Content One member Company Limited ( VTC Intecom ), website address:https://vtcpay.vn. All images , symbols and contents on the system VTC Pay such as : Logo , Slogan , trademarks , brands , images, information ( hereinafter called  "The content " ) are posted on the website under the ownership of the VTC Intecom and has been copyrighted in according the provision laws in force. Therefore, VTC Intecom Company has been  prohibited many copyright infringements such as  the willful copy , modification , printing  and using  contents, images without the official consent in writing of the VTC Intecom. For these infringements, the company VTC Intecom will combine with the competent agencies  to  prosecute customers according to the law. The customers have only permitted to post and use the content of the Company for the individual purposes which ensure the original path and the original document . Customers can contact the VTC Intecom company for permission to use content via e-mail: hotro.pay@vtc.vn. If approved , the Customers have to ensure that their using content  will fit this Regulation and the use isn’t  infringed  the rights and the benefits  of the individuals / other  organizations or infringe contracts , legal obligations of individuals / organizations .

2 . The legal use
Customers are only allowed to use the products and the services of  VTC Pay legally by the VTC Intecom Company. Customers aren’t  allowed to make implementation such as fraud, cheating , forgery ... or the transmission of information, many bad images against the habits and customs, infringe the laws of Vietnam as many actions deliberately destroying , damaging the system VTC Pay of the VTC Intecom Company . Customers are not allowed to have any activities involving the transmission e - mail , undesirious messages to other users in the system . Any unauthorized activities’ customer to the system, VTC Intecom Company will be warned and lock the account or prosecute according to the law in force

3 . Compliance requirements
When customers agree to the Terms of use, customers have obliged to comply with all provisions and regulations of the Terms of use, the privacy policy or the terms when using the service. If customers have infringed these terms and conditions , the VTC Intecom Company may unilaterally temporarily or eternally lock the account to terminate or suspended immediately: ( 1 ) using the Customer’s service , ( 2 ) using the account , ( 3 ) accessing this page. The VTC Intecom Company has the right to inform for the appropriate authorities or third party with the doubtful infringement activities. The VTC Intecom Company will also cooperate with legal agencies to support the investigation and prosecution of infringements in according the provision laws in force. 4 . Associating Third Party’s page
 The system VTC Pay  may also include associate many products and services of the independent third party directly or via associated sites operated by these partners. The customer contact or make business transactions , or participate in promotions of advertisers and other activities which  are found on or through the site  https://vtcpay.vn , just as the relationship between customers and the partners, even on the regulation also applies even if it related to any product or service using common trademarks with the VTC Intecom Company, including the VTC Intecom company's brand. The customer agrees that the VTC Intecom Company won’t be entirely responsible or obligate for any loss or damage of any form arising from these transactions or in the presence of the partner . Customers should  carefully inquire into  the relevant information before making any transactions with any third party.

5 . Declaring disclaimer about the assured services:
The VTC Pay which is provided by the VTC Intecom company based on the possible criteria entirely. Customers should note that the system VTC Pay and the services have been provided to customers  based on the service Internet connection of the third party and in the cases can occur such as  loss of signal Internet lines, switching the electricity off, malfunction about the natural disasters as flooding , and other factors beyond the VTC Intecom company's control will lead to the use the services of the system VTC Pay delayed or didn’t implemente. In such case, the VTC Intecom Company doesn’t  guarantee that The system  VTC Pay or the service will always be ready , and use at any time , uninterruptedly , timely , accurately , safely , errorless or virus infection as well as definitely about the achieved results after using the system VTC Pay and the service. However, on the VTC Intecom Company scale will exert itself to remedy the disruption and make appropriate adjustments .

6 . The limitation of liability:
The VTC Intecom Company won’t assume any liabilities or joint liability for any consequences due to access or unauthorized modification to the host computer, the interface of suppliers, the customer’s equipment and data  or the customer data of customers , due to the malfunction about the equipment of the third party or other causes beyond the control of the  VTC Intecom Company. In addition,  VTC Intecom Company doesn’t assume any liabilities in the case the host computer , service provider interfaces or other devices are used to provide the services penetrated and / or damaged and / or changed information by Trojans , viruses , and other software programs deliberately destroyed from the outside .
As a condition of using the system VTC Pay, customer agrees that the VTC Intecom Company , the board ,  director , employees , shareholders or  the agent of the VTC Intecom Company won’t assume any liabilities for YOU or the third party in any cases of loss of profits, business opportunities , costs incurred directly or indirectly , and other damages when connecting to  the system VTC Pay or when using the service .
Everything related to customer’s transactions on  the system VTC Pay which will be resolved according to the provisions in the Terms between the VTC Intecom Company and the Customer.

7 . Compensation and Compensation for Damage
Customers are obliged to pay compensation for the VTC Intecom Company or any third party for the whole / any reality damages that were defined the part of error by the customer happens one of the following situations :
-    Infringement of the terms of this agreement or the agreements about using of the service between the VTC Intecom Company and customers ;
-    Infringement of regulations and the law in force exerting the VTC Intecom Company’s influence  affecting / damaging the Company ;
-    The inattention or the intentional wrong behavior of customers , or employees and agents of the Customer exerts influence/ damages to the  VTC Intecom Company ;
-    Infringement  of any regulations / agreements in the privacy policy ;
-    Infringement of the intellectual property rights or the legal interests of any individual / organization exerts influence / damages to the VTC Intecom Company ;
-     - Disputes in the advertising, promotion, distribution of goods for the customers exert  influence / damages to the VTC Intecom Company
 
8 . Accessing to the password area
Only those customers who registered to use the service legally can access and use many areas. The areas are protected by the password of the system VTC Pay. The individuals / organizations deliberately break into this area without agreeing of the subscriber or the permission of the VTC Intecom company. The acts can be sued and depend on the level of the infringement, can be taken criminal proceedings under the current law .

9 . Termination of Use
The VTC Intecom Company has the right  to temporarily suspend or eternally terminate the customers’ use VTC Pay and doesn’t accept any responsibility for Customer and  The Third Parties in the following cases :
 - At the request of the Customer: When Customers don’t  want to use the service VTC  Pay of the VTC Inetcom Company , Customer may to inform the Customer Care Department, the VTC Intecom Company will confirm the customer 's requirements and stop using the service .
-The  customer service doesn’t have any transactions within 06 months from the date of registration , the  system VTC Intecom Company will automatically suspend the operation of the customer service .
 - The VTC Intecom Company will terminate eternally the use  customer’s service if the Customer has the acts such as defraudation, fraud , forgery ... or the transmission of information , the  bad images contraries to habits and customs , infringe the laws of Vietnam as well as actions deliberately vandalize , damage to the system VTC Pay of the VTC Intecom company .
- At the request of the law enforcement agency having jurisdiction
 - In the case of disputes or complaints, confusion, the VTC Intecom Company also has the right to suspend the service account or blockade the money in the account to serve for dispute and complaints
. - Other cases :  the VTC Intecom Company will inform customers via one of the following means : telephone, email , SMS, fax or text .

10 . The irresistible terms
The VTC Intecom Company won’t accept any liabilities for damages related to the interests of the customer in the following cases :
 - Damage caused by the natural environment and social upheaval : Natural disasters , fires , wars , strikes ...
 - Damage caused by problems beyond the control: Virus , Internet traffic interruptions ,a  power cut, attacking hackers ...
 - Damage caused by the Third Parties : regulations , decree of the law enforcement agency having jurisdiction.

11 . The  provisions about dispute
 - VTC Intecom : The VTC Intecom company will resolve the disputes based on the information which customer provides and updates .
 - Disputes between the  Customer and  the Third Party : the VTC Intecom Company doesn’t have any related liabilities, the company has played the role to support the customer and has provided the necessary information to the Customers and the Third Party . The Customer and the Third Party directly resolve all related issues to transactions of the Customer and the Third Party.
 - In case the dispute didn’t satisfactorily resolve and the parties don’t  reach consensus , then either party has the right to resolve the dispute by the competent courts in Vietnam . Court 's decision will be final and  has binding force on the parties .
In case any provisions of the Agreement are invalid and unenforceable will affect the terms which identify invalidly. In case there is a difference between this Agreement and other Agreement for the use of the specific services, a new agreement will be valid
Any disputes arising and the related agreements for the use of the service will be  considered the parties  to resolve negotiations in a spirit of negotiation . In case of the unsuccessful negotiations , the dispute shall be settled in court .

12 . Terms of Use
Terms of Use is undertaken and  is accepted  the provisions in the Agreement for using this service between the Customer and  the VTC Intecom Company when the customer registers and uses the VTC Pay of the VTC Intecom Company
Depending on the particular time , the VTC Intecom Company may change, adjusted the content of the agreement and updated the information about the changes , adjust on site https://vtcpay.vn without informing to Customer . If customers continue to use the service  means that customers accept and agree to abide by the contents of the updated Agreement . Any infringments of the Customers with the terms and the Agreement may lead to suspension or closure of the accounts, services or other permitted activities under the Terms of  Use Services in the VTC Intecom Company. Moreover, the VTC Intecom Company has the right to seek many resolution methods based on the provisions of this Agreement and the relevant law.

III . The process about the use of the service
1 . Register to use the service
 -  The account’s name is the customer’s telephone subscriber
 -  The account holder needs to provide fully , accurately and has to be self- responsiblity for the requested information in the registration form , including in the basic information : the name, the number of  the Identified Card ( ID card ) ,  the number phone ,the email , ... ;
 - The adequated and accurated provision about the personal information such as name , address , number of ID card  as well as other factors have been important to determine the identity of people  using online services base on the required bussiness’s requirement by providing online services ;
 -  The VTC Intecom will be based oneself on the real ID card number of the customer to support the relating disputes about using the account. Providing information accurately helps the VTC Intecom Company to protect the legitimate rights of the account holder ;
 - The account holder must preserve oneself the account, password, email and fill in the necessary information to watch out many incidents (eg, hacking , remembering wrong password , etc. ... ).  The VTC Intecom isn’t responsible to any damages of customers due to using the service causes;
 - The number of telephone subscribers which was set the number account VTC Pay is only used in the system . The account holder is self- responsibility for the personal security and the use of telephone subscribers to register on the system .

2 .Top-up cash
 - The Scope
The customer can top up the account VTC Pay by logging into your account at the website https://vtcpay.vn, choose the Top-up Cash at the account’s Tab to perform top-up online transactions or inform about the top-up transaction via ATM , the Bank’s trading desk .

The processing time :
Depending on the method you use to top up money into your account , The VTC Pay will credit balances VNĐ in  corresponding to top-up transactions on the customer’s account at the website  https://vtcpay.vn.
 -  The restriction Cases:
Customers can’t  top up money into your account ( or if you try to top up money that the amount can be frozen /  be taken into custody by VTC Pay at any particular time ) in case the amount of customers  tops up VTC unclearly and illegally such as transferring money from your international credit card or international debit card stealing , false ...

3 . Transfer and withdraw money
 - The scope
The customers can transfer or withdraw cash from the VTC Pay account by logging into your account at website https://vtcpay.vn, selecting the Cash Move  or the Cash Withdrawal in the Profile Tab . The transimission at the VTC Pay is free for customers . For the case of the withdrawals from the account , the customer will take 1,000 VNĐ / 1 teller transactions for a service fee.
- The limit
To perform the withdrawal functions , VTC Pay  requires that the customer’s account has to be authenticated . Based on the type of the customer's account is the Individual account and Enterprise account, we have defined the withdrawal  for the minimum amount and limit the daily withdrawals. - The processing Time
Except in irresistible cases (defined at the Section II of the Agreement for using this service ) , VTC Pay will resolve many requirements about the withdrawals of the customer within 48 hours until the customer requests the withdrawals under the proper guidelines and regulations of the VTC Pay ( Apply with the funds that VTC Pay considers that the money is lawful and the customer is the owner of the valid account VTC Pay ) .
 - The limiting cases
Customers can’t withdraw the money or have to wait the longer processing time in the following cases :
 - The amount in the customer account VTC Pay is blocked ;
 - The customer’s account is complained, or the VTC Pay has many evidences to suspect that amount in the customer’s account has illegally source;
 - The customers report the information about the withdrawals incompletely , accurately and validly .

IV . The regulations for customers
1    .The rights of customers
-Be entitled to use any products or services which are offered on the website https://vtcpay.vn legitimately ;
 - Be entitled to use the products and services of the VTC Intecom pay fees if the balance in the customer’s account is eligible to pay fees for  using the service
 - Customers agree to use the online services of VTC Intecom means that the customer agrees to the provisions on the rights and obligations that VTC launched;
 - Notification or complaints with VTC Intecom when the customer discovered his defective , invalid transactions , inaccurate transaction . To inform or complaint about the quality of products and services of the VTC , the customers will contact the call center 19001530 or visit our website : http://hotro.vtc.vn;
 - The right about refusing to use the online products / services VTC Intecom when the legitimate demands of the customer aren’t satified

2 . Responsibilities and Obligations of the customer
 - When using the VTC Pay, customers will always be responsible for all transactions from the account  VTC Pay. It is possible to compensate customers for VTC Pay and / or the other user or the third party who is  involved if you infringe the Agreements of using the service or if the customer losses , damages to the VTC Pay , for other users or the relatived third party.
 - Customers aren’t  allowed to carry out any acts such as fraud, cheating , forgery ... or the transmission of information , the  bad images contraries to habits and customs, infringe the laws of Vietnam as well as actions deliberately vandalize , damage to the system VTC Pay of the VTC Intecom company .
- Customers are not allowed to have any activities including in  the transmission of e - mail , unsolicited messages to other users in the system . Any unauthorized access  of the customers to the system VTC Intecom Company will be warned , lock the account or prosecute according to the law in force
- When customers agree to the Agreement of using the service , customers are obliged to comply with all terms and provisions of the agreement, the privacy policy or the agreement of the use corresponds with using the service . If the system has identified the customer’s infringement about these terms and conditions, the VTC Intecom Company may unilaterally temporarily or eternally lock the account to terminate or suspended immediately: : ( 1 ) using the Customer’s service , ( 2 ) using the account , ( 3 ) accessing this page. The VTC Intecom Company has the right to inform for the appropriate authorities or third party with the doubtful infringement activities. The VTC Intecom Company will also cooperate with legal agencies to support the investigation and prosecution of infringements in according the provision laws in force.  - From time to time certain, VTC Intecom company can change and adjust the content of the agreement and update information about the changes, adjustments on websitehttps://vtcpay.vn  without noticing to Customer. If customers continue to use the service means that customers accept and agree to abide by the contents of the updated Agreement. Any infringements of the Customer about the terms and the Agreement may lead to the suspension or closure of accounts, services or other permitted activities under the VTC Intecom Company’s Terms of  . Moreover, the Company has the right to seek resolution methods based on the provisions of this Agreement and the relevant law .

V.The provisions about the service
1 . The Payment Gateway VTC Pay
1.1 . Subjects of application
Individuals and organizations online sale (hereinafter referred as Merchant ) , the payment accounts opened at the VTC Pay and receive money via internet through the online payment services provided by VTC Pay .

1.2 .The  integration payment
Depending on the demand of using, Merchant chooses the initiative one ( 01 ) in two ( 02 ) forms of the Integrated payment below to accept the integration payment from the activities online sale
The integration product :  is the integration form , allowing the Merchants to put the button for the payment VTC Pay on each product for sale on the forums and advertising website. The Merchant selects the Integration Product in the Tab Integration and perform manipulations in the following instruction at here

1.3. The fee for service
The Merchant understands that the use of the Payment Gateway VTC Pay receives the payments for the online sale activities is paid the fee. VTC Pay will be deducted directly the service fees from the amount which Merchant received in the payment transactions .
Service fees are posted on the website https://vtcpay.vn.

1.4 . The  Rights, Responsibilities and Obligations of the Parties
1.4.1 .The Rights and responsibilities of VTC Pay
 - VTC Pay is responsible for working with the banks and financial institutions to provide online tools to facilitate the process of the Purchase’s transmission payments for e-commerce transaction of Merchant, help the convenience and protection of buyers and sellers to strengthen from financial risk transactions over the Internet. Accordingly, the involved parties agree and accept that :
a) The transactions received the payment through the Payment Gateway VTC Pay is done directly to the Buyer by the Merchant, VTC Pay doesn’t take responsibility in the dispute case is  mediate to arbitrate settlement.
b ) VTC Pay is only the third-party service providers supporting payment , Merchant is solely responsible for the goods or services transactions with buyers .
c ) VTC Pay isn’t the Buyer, so it isn’t responsible that the Buyer can complete all stages of the payment transaction or not .
d ) VTC Pay isn’t the banks or  the credit institutions, so the Merchant hasn’t been entitled to interest on the amount for the safe-keeping VTC Pay.
 - VTC Pay has the right to freeze the payment transaction or suspend withdrawals in case the Buyer complaint until resolving
 - The VTC Pay has the right to suspend  the transaction / receiving money or refuse the request to withdraw money from the account VTC Pay if the transaction that has the ability to make negative to the available balances of the Merchant Account , and / or apply other preventive measures in case the Merchant was  complaint justifiably and grounded  by the Buyer.
- The VTC Pay has the right to gather in a part entitld to a portion or the entire amountwhich related to the payment transactions to reimburse the Buyer in order to overcome the financial consequences in the following cases:
a) The Buyer's complaints aren’t received the goods or the wrong goods is different than the goods described, the Merchant doesn’t  prove reasonably that they have complied with the Buyer conclusion and  is adjudicated wrongly by the VTC Pay because of the errors of the transport unit
b ) The VTC Pay proves that the source of the amount that the buyer has to pay for Merchant has the illegal origin or has purpose of laundering money or related to a fraudulent transaction or is illegal or unintended to the real owner of the account Buyer
-The VTC Pay has the right not to provide information about the Buyer for the Merchant, unless the requirements in writing by the law enforcement agency having jurisdiction.
 - The VTC Pay isn’t  responsible if the incident causses the unintended consequences in the following cases :
a) Hardware, software, or the network trouble and the incorrect operation .
b ) The payment transactions are suspended or denied because the VTC Pay has the reason to believe that is related to fraud or not allowed .
c ) The payment transactions which are sent by Merchant have information to be incorrect or non-standard .
d ) The unforeseen circumstances make the system VTC Pay to operate incorrectly, including in unlimitedness: the mysterious phenomenon can’t  be explained , power outages , fire , flood , theft , the broken equipment , being attacked unlocking or during system maintenance , etc. ...

1.4.2 . The Responsibilities and Obligations of Merchant
 - Provide information about the goods for the Buyer truthfully , usually updat on time about the inventory status and the price , sales have paid the correct value , the price including in the taxes in accordance with the law and the transportation costs .
 - Don’t perform acts absolutely such as money laundering, fraud ,giving  and taking bribes , selling the derived products delinquency .
 - When receiving the message and / or email of VTC Pay,  notifications about the payment transactions , Merchant is responsible for checking it again by logging into the page " The transaction history " of the receiving account then transfer goods or perform services for the Buyer in accordance with quality and the commitment deadline for sale in the description and save the valid documents such as sales invoices or a delivery bill  signed  the Buyer, the carrier's bill of lading etc. ... happens in case of complaints
- Merchant is responsible to provide the returning policy for the buyers / exchanges and warranties clearly and logically, provides VTC Pay the content of those policies when requesting and being responsile to notify each of the changes or update.
- Merchant is responsible the cooperation and the full coordination with VTC Pay to investigate complaints under the complaints process of VTC Pay including in the provision of  the valid documents to prove that Merchant has the committed transaction, and to abide and comply with the contents of judgement VTC Pay.
- Merchant  has to be responsible to be concluded if the Buyer doesn’t  receive the goods or receives but the differences in quality or quantity than even described by the causes arising in the transport  processes . When the Merchant must agree to indemnify the Purchase and / or adhere to the judgment of VTC Pay
 - In case, the payment has been received but no goods to sell or accept for the Buyer’s receiving goods, or any other possibilities which lead to the sale transaction shall be canceled; Merchant must return the money for the buyer as soon as possible in a reasonable period of time ( but not more than a month )
 - Merchant commit:
a) NOT require the Buyer to provide the personal financial information such as bank account , credit card number , password, account login VTC Pay ...
b ) NOT  require the Buyer to pay an additional fee when paying by VTC Pay
c ) The value of the payment must be included in paying the full fees if there is a valid ( transport , services ... ) and tax in accordance with the provisions of the law .

1.5 . Coordinate communications and marketing
The two sides agree to promote collaboration within each condition of each party, including in unlimitedness to the following orientations :
 - VTC Pay posts Logo , Banner and introduce about the products of  Merchant on https://vtcpay.vn to promote the community users which have the accounts at VTC Pay .
 - Merchant can send the information about the promotions of product / discounts, VTC Pay will select and support Merchant about posting the promotional information on the channel of VTC Pay .
 - VTC Pay reserves the right to use images and information about the online activities of the Merchant to serve the purpose of promoting communications and marketing .
 - Merchant give many photos ( Banner , Logo ) for  the Buyer is willing to accept the online payment by VTC Pay in prominent positions of  their sales website , including in unlimitedness : site Home page , footer page , ... in the case the Merchant sales at Forum , Ad Website or similar environmental community which  puts  messages and photos in the signature at the bottom of each article .
 - Merchant considers participating in their ability by VTC Marketing programs and the promotional events of VTC Pay which are organized in order to stimulus and develop the habit of the online payment

2. Payment, purchase on VTC Pay system
2.1 Systems:
- Customers can make payment for products and services on VTC Pay system on website https://vtcpay.vn or VTC Pay Wallet Application.
2.2 Regulations on refund:
- Customers are not allowed to return any products delivered by VTC Pay after successful transactions, except for products that are damaged or misleading due to manufacturer errors.
- For products that are damaged due to manufacturer's faults, after verifying that it is the manufacturer's fault, the Customer has the right to request VTC Pay to exchange another product of equivalent value and in-use date.
- The limitation on time for returning products is 01 (one) day after the date of detecting defective products in the above section. After that time, VTC Pay reserves the right not to accept the request for refund.
- VTC Pay has the right to refuse to return the products/refund after VTC Pay successfully delivered on the system.

2.3 Principles on payment for goods:
- For digital goods & services provided on VTC Pay system, user can make payment via: VTC Pay E-Wallet, Domestic bank card account/ATM card, debit / credit card.
- For successful payment transactions, the transaction results are displayed immediately on the transaction screen. For suspicious transactions, transactions awaiting payment verification, the transaction results will be sent to the email or registered phone number of customers within 1-3 working days. VTC Pay is not responsible for cases where customers fill in incorrect information, customers provide information to other people or risks of information security of accounts, including email and phone numbers of customers.
- For international card (credit card) payment transactions, customers are required to verify additional information: ID card, images of front side with the last 4 digits of the card (blurring other characters), and account statement to authenticate transactions.

 2.4 Support Center
